Welcome to Simpson Select. These Terms of Service (“Terms”) govern your use of simpsonselect.com (the “Site”) and purchases made through our online store.

By accessing or using the Site, or placing an order through the Site, you agree to these Terms. Please read them carefully before using the Site or making a purchase.

1. Acceptance of Terms

By accessing or using the Site, you confirm that you have read, understood, and agreed to these Terms.

If you do not agree with these Terms, you should not use the Site or place an order.

These Terms apply to all visitors, users, and customers of the Site.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to place an order through the Site.

By using the Site, you represent that:

If we cancel an order after payment has been received, we will provide an appropriate refund of amounts paid for the cancelled order.

4. Orders and Contract Formation

When you place an order through the Site, you are making an offer to purchase the products selected by you.

After receiving your order, we may send an order confirmation acknowledging receipt of your order. An order confirmation does not necessarily mean that your order has been accepted.

We reserve the right to accept or decline an order before it is dispatched.

A contract for the purchase of products is formed when we accept your order and confirm that the products will be supplied.

We may cancel an order where, for example:

The product is unavailable.
There is an obvious pricing or listing error.
We reasonably suspect fraudulent or unauthorised activity.
We are unable to fulfil the order.
The order cannot be shipped to the requested destination.

If we cancel an order after payment has been processed, we will provide a refund of amounts paid for the cancelled order.

5. Pricing and Payment

Prices displayed on the Site are shown in USD by default unless otherwise stated.

The currency displayed may be changed using the currency-selection features available on the Site.

Prices may be subject to applicable taxes, duties, customs charges or other governmental charges depending on the customer's location and applicable law.

Shipping charges, where applicable, will be displayed at checkout before you complete your purchase.

Payment is generally processed when an order is placed.

6. Shipping and Delivery

Orders are generally processed within approximately 2 business days, although processing times may vary depending on product availability and other circumstances.

Estimated delivery times are displayed on the Site or at checkout where available. Delivery estimates are estimates only and may vary depending on destination, carrier, customs processing and other circumstances.

We will make reasonable efforts to meet any shipping or delivery timeframe represented on the Site.

If we become unable to ship an order within the timeframe represented to you, or within any period required by applicable law, we will notify you and provide any cancellation, refund or delay options required by applicable law.

We are not responsible for delays caused by circumstances outside our reasonable control, including carrier delays, customs processing, natural disasters, severe weather, strikes, government actions or other events beyond our reasonable control. However, nothing in these Terms limits any rights you may have under applicable consumer protection laws.

Where customs duties, import taxes or similar charges are imposed on an international shipment, responsibility for those charges will depend on the shipping arrangement and applicable law. Any such charges that are the customer's responsibility will be disclosed where reasonably practicable.

7. Returns, Refunds and Exchanges

Our returns and refund procedures are set out in our Returns & Refunds Policy.

Please review that policy before purchasing.

Unless otherwise stated in our Returns & Refunds Policy or required by applicable law:

Return requests must be submitted within 14 days of delivery.
Products should generally be unused and returned in their original condition and packaging.
Certain products may be excluded from return where permitted by law.
Return shipping costs may be the customer's responsibility where the return is for a change of mind.
Where a product is defective, damaged, incorrect, or otherwise fails to meet applicable consumer guarantees, we will provide the remedies required by applicable law.

Nothing in these Terms or our Returns & Refunds Policy is intended to exclude, restrict or modify any consumer guarantee, warranty, right or remedy that cannot legally be excluded, restricted or modified.

8. Product Defects and Consumer Rights

We aim to supply products that are accurately described, of acceptable quality and fit for their represented purpose.

If you receive a product that is defective, damaged, materially different from its description, or otherwise does not comply with applicable consumer protection laws, please contact us as soon as reasonably practicable.

Depending on the circumstances and applicable law, you may be entitled to a repair, replacement, refund or other remedy.

Nothing in these Terms limits or excludes mandatory consumer rights that apply to your purchase.

Third-party involvement does not change your contractual relationship with Simpson Select when you purchase products through our Site.

We may use third-party services to process payments, fulfil orders, provide shipping, host the Site, provide customer support or perform other business functions.

Where third-party websites or services are linked from our Site, we are not responsible for the content, availability or practices of those third parties.

12. Site Availability and Accuracy

We aim to keep the Site available and information accurate, but we do not guarantee that:

The Site will always be available or uninterrupted.
The Site will be free from errors or technical issues.
All information will always be complete, current or accurate.
The Site will be free from viruses or other harmful components.

We may modify, suspend or discontinue any part of the Site without notice where reasonably necessary.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Simpson Select will not be liable for indirect, incidental, special or consequential loss arising from your use of the Site or purchase of products.

Where liability cannot lawfully be excluded, our liability will be limited to the extent permitted by applicable law.

Nothing in these Terms excludes, restricts or modifies liability, consumer guarantees, rights or remedies that cannot legally be excluded, restricted or modified.

Nothing in these Terms limits liability for matters that cannot lawfully be limited or excluded.

14. Indemnity

To the extent permitted by applicable law, you agree to indemnify Simpson Select against losses, liabilities, claims and reasonable expenses arising from your unlawful use of the Site, your breach of these Terms, or your violation of the rights of another person.

This indemnity does not apply to the extent that the relevant loss or liability was caused by Simpson Select's own unlawful conduct or cannot legally be transferred to you.

15. Privacy

Your use of the Site and our handling of personal information are also governed by our Privacy Policy.

By using the Site, you acknowledge that personal information may be collected, used and disclosed as described in our Privacy Policy and as permitted or required by applicable law.

16. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the Last Updated date at the top of this page.

Changes will generally apply to future use of the Site and future orders. Unless otherwise required by law, changes to these Terms will not alter the terms governing an order that we have already accepted.

Your continued use of the Site after updated Terms are posted constitutes acceptance of the updated Terms.

17. Governing Law and Jurisdiction

These Terms and any contract formed between you and Simpson Select in connection with your use of the Site or purchase of products are governed by and construed in accordance with the laws of Western Australia, Australia, without regard to conflict-of-law principles.

Subject to any rights or remedies that cannot lawfully be excluded, restricted or modified, you agree that the courts of Western Australia and courts competent to hear appeals from them will have jurisdiction in relation to any dispute arising out of or in connection with these Terms, the Site, or any purchase made through the Site.

Nothing in these Terms is intended to exclude, restrict or modify any rights, guarantees, remedies or protections that apply to you under applicable consumer protection laws and cannot lawfully be excluded, restricted or modified. Where mandatory consumer protection laws in your place of residence apply to your purchase, those rights remain unaffected by this Section.

18. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable, where legally permitted.

If it cannot be made enforceable, the provision will be removed without affecting the validity of the remaining provisions.

19. Entire Agreement

These Terms, together with any policies expressly incorporated into them, constitute the agreement between you and Simpson Select concerning your use of the Site and purchases made through the Site, except to the extent additional terms apply to a particular transaction.
